This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and UE Sound / Umut Erhan (“Developer”, “we”, “us”) for the use of the Modulix desktop application (“Software”).
By downloading, installing, or using Modulix, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.
1. License Grant
Upon purchasing a valid license key, UE Sound grants you a personal, revocable, non-exclusive, non-transferable, and limited license to install and use Modulix.
- You may install and activate the Software on computers that you personally own and use.
- You may not share, sell, distribute, or publish your license key.
- The Software is licensed, not sold, to you. UE Sound retains all intellectual property rights, copyrights, and ownership of the Software.
2. Early Access / Beta Software Disclaimer
You acknowledge that Modulix is currently being provided as “Early Access” or “Beta” software. This means the Software may contain bugs, errors, or missing features. We strongly advise that you thoroughly test your setups, plugins, and MIDI configurations during rehearsals before relying on the Software in a live performance environment. UE Sound does not guarantee that the Software will be error-free or uninterrupted.
3. Free Trial & Refunds
Modulix offers a fully functional 14-day free trial. We highly encourage all users to thoroughly test the Software with their specific audio interfaces, MIDI controllers, and third-party plugins during this trial period.
Because a comprehensive free trial is provided to ensure the Software meets your needs prior to purchase, all sales of license keys are generally considered final. Refund requests will be reviewed on a case-by-case basis. Payments, taxes, and invoices are processed by our authorized reseller, Gumroad.
4. Restrictions on Use
You agree not to:
- Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Software.
- Modify, translate, or create derivative works based on the Software.
- Remove, alter, or obscure any proprietary notices, copyright labels, or licensing mechanisms within the Software.
- Use the Software for any illegal or unauthorized purpose.
5. Limitation of Liability
Please read this section carefully as it limits our liability.
The Software is provided “AS IS”, without warranty of any kind, express or implied. Modulix is a live performance tool, and while we strive for maximum stability, computer hardware and third-party plugins can be unpredictable.
IN NO EVENT SHALL UE SOUND OR UMUT ERHAN BE HELD LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE. THIS INCLUDES, BUT IS NOT LIMITED TO, CANCELED PERFORMANCES, LOST GIG REVENUE, DAMAGED AUDIO EQUIPMENT, OR DATA LOSS.
Your use of the Software in a live, studio, or broadcast environment is entirely at your own risk. In jurisdictions that do not allow the complete exclusion of liability, UE Sound's total liability shall never exceed the actual price paid by you for the Software.
6. Privacy and Data Collection
Modulix communicates with external servers to validate license keys via Gumroad and securely report anonymous crash diagnostics via Sentry. 7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of France and the European Union, without regard to its conflict of law principles.
